GiveSentiment Reward Program Terms

These Rewards Program Terms and Conditions ("Rewards Terms") govern your participation in the rewards program offered in connection with the Services ("Rewards Program"). These Rewards Terms are incorporated into and form part of our Terms of Use. By participating in the Rewards Program, you affirm that you have read, understood, and agree to be bound by these Rewards Terms, our Terms of Use, and our Privacy Policy. If you do not agree to these Rewards Terms, you may not participate in the Rewards Program. Capitalized terms used but not defined in these Rewards Terms have the meanings given to them in our Terms of Use. We may modify these Rewards Terms at any time in accordance with the procedures outlined in the "Will these Terms ever change?" section of our Terms of Use.

Your participation in the Rewards Program begins when you engage or interact with any aspect of our Services that involves the earning, redeeming, or management of Rewards. This includes, but is not limited to, creating an account eligible for Rewards, participating in surveys, creating surveys that offer Rewards, or interacting with Reward Providers or Data Licensors through the Services. Participation also encompasses any passive engagement, such as maintaining an account eligible for Rewards, even if not actively earning or redeeming them.

Eligibility and Account Requirements

To participate in the Rewards Program, you must:

- Be at least 18 years old; - Have legal capacity to enter into binding contracts; - Comply with these Rewards Terms, our Terms of Use, and our Privacy Policy; - Maintain a valid and active GiveSentiment account in good standing, as described in our Terms of Use; - Provide and maintain accurate and current Personal Information; - Successfully complete any required biometric authentication processes.

The Rewards Program is available internationally. However, your participation may be subject to local laws and regulations. You are responsible for ensuring your participation complies with all applicable laws in your jurisdiction.

Each individual is limited to one (1) Account. Accounts are non-transferable and may not be sold, transferred, delegated, combined, or shared with other individuals.

GiveSentiment reserves the right to verify your eligibility at any time. You agree to provide any necessary information or documentation to confirm your eligibility upon request.

We may, at our sole discretion, refuse to offer the Rewards Program to any person or entity and change the eligibility criteria at any time.

Rewards Program Overview

The Rewards Program is an integral part of our Services, designed to incentivize user engagement and data sharing within our marketplace. Through this program, users can earn various forms of compensation by participating in surveys, sharing data, or engaging in other specified activities. Rewards may encompass a wide range of incentives, including but not limited to financial compensation, gift cards, virtual currencies, cryptocurrencies, and potentially GiveSentiment's own proprietary token ("Rewards"). These Rewards may be offered directly by GiveSentiment or by third-party businesses through the Services ("Reward Providers"). The nature, value, and availability of Rewards are subject to change based on factors such as geographic location, market conditions, and strategic partnerships.

Earning and Redeeming Rewards

You can earn Rewards by completing activities that are eligible for rewards ("Qualifying Activities"). Qualifying Activities typically include, but are not limited to:

- Participating in surveys - Sharing data through our platform - Creating surveys (for Survey Creators) - Any other activities specified by GiveSentiment or Reward Providers as eligible for Rewards

The specific Rewards available and the requirements to earn them will be clearly communicated before you engage in any activity that may earn Rewards.

Rewards are typically credited to your Account after the successful completion of a Qualifying Activity and subsequent verification by GiveSentiment or the relevant Reward Provider. However, the timing and process of crediting Rewards may vary, and GiveSentiment reserves the right to delay, modify, or withhold Rewards in certain circumstances, such as suspected fraudulent activity or technical issues.

To redeem Rewards, you must:

- Have a GiveSentiment Account in good standing; - Meet any minimum redemption thresholds set by GiveSentiment or the Reward Provider; - Complete any required identity verification or biometric authentication processes; - Comply with all additional terms set by GiveSentiment or the Reward Provider.

Redemption of certain Rewards, particularly cryptocurrencies, may require you to have a compatible blockchain wallet. You are solely responsible for the security and management of your blockchain wallet as outlined in the Terms of Use.

Once Rewards are redeemed, they may be subject to additional terms, conditions, and expiration dates set by GiveSentiment or the Reward Provider.

User Roles and Responsibilities

Survey Respondents (users responding to surveys):

- Must provide truthful and accurate responses to surveys; - Are responsible for reviewing and understanding the terms of each survey before participating; - Acknowledge that any survey responses may be sold to Data Licensors in whole or in part and independently or in combination with other survey responses and associated data.

Survey Creators:

- Must comply with all applicable laws and our Terms of Use when creating surveys; - May be responsible for specifying the Rewards offered for surveys; - Must only request information necessary for the stated purpose of the survey.

Data Licensors:

- Must comply with all applicable data protection and privacy laws; - Are responsible for their use and processing of data acquired through our platform; - Must adhere to the licensing terms specified for each dataset they acquire.

Reward Providers (including GiveSentiment when offering its own Rewards):

- Are responsible for the fulfillment and support of the Rewards they offer; - Must comply with all applicable laws, including those related to gift cards, virtual currencies, and cryptocurrencies; - Are responsible for any tax reporting obligations related to the Rewards they provide.

Blockchain and Cryptocurrency Rewards

Some Rewards may be provided in the form of cryptocurrencies or may utilize blockchain technology for distribution, including GiveSentiment's own token if offered. You acknowledge that cryptocurrency values can be highly volatile and that you assume all risks associated with accepting cryptocurrency Rewards. GiveSentiment is not responsible for any fluctuations in cryptocurrency value, nor for any losses you may incur due to such fluctuations, even for Rewards it directly offers.

As stated in the Terms of Use, you are solely responsible for the security of your blockchain wallet and any private keys associated with it. GiveSentiment cannot recover lost or stolen cryptocurrencies or access to blockchain wallets.

Cryptocurrency transactions are typically irreversible. You are solely responsible for ensuring the accuracy of all transaction details. You should seek professional financial advice before engaging in any cryptocurrency-related transaction or accepting any cryptocurrency-related Reward.

Data Protection and Privacy

Your participation in the Rewards Program involves the collection and processing of your Personal Information, as described in our Privacy Policy.

Biometric data collected for authentication purposes will be treated in accordance with the biometric data provisions in our Privacy Policy.

By participating in the Rewards Program, you consent to the sharing of necessary information with Reward Providers for the purpose of Reward fulfillment.

Intellectual Property and User-Generated Content

Any content you create or submit in connection with the Rewards Program (including survey responses) is subject to the intellectual property provisions in our Terms of Use.

You grant GiveSentiment and relevant Data Licensors the necessary rights to use and process your survey responses and other user-generated content as described in our Terms of Use.

Your participation in the Rewards Program does not create an employment relationship with GiveSentiment. You acknowledge that you are acting as an independent participant and not as an employee, partner, agent or joint venture of GiveSentiment.

Prohibited Conduct

You agree not to engage in any of the following in connection with the Rewards Program:

- Providing false or misleading information; - Creating multiple accounts to earn additional Rewards; - Using automated means to participate in surveys or earn Rewards; - Selling, transferring, or sharing Rewards in violation of these Rewards Terms or the terms set by Reward Providers; - Engaging in any activity that violates applicable laws or regulations; - Attempting to manipulate or abuse the Rewards Program in any way.

Violation of these prohibitions may result in the forfeiture of earned Rewards, suspension or termination of your Account, and/or legal action.

Disclaimers and Limitations of Liability

THE REWARDS PROGRAM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

GIVESENTIMENT DISCLAIMS ALL LIABILITY FOR THE ACTIONS OR INACTIONS OF REWARD PROVIDERS, DATA LICENSORS OR OTHER USERS. WE MAKE NO GUARANTEES REGARDING THE AVAILABILITY, QUALITY, OR VALUE OF ANY REWARDS, INCLUDING THOSE OFFERED DIRECTLY BY GIVESENTIMENT.

YOU ACKNOWLEDGE THAT PARTICIPATION IN THE REWARDS PROGRAM MAY INVOLVE THIRD-PARTY SERVICES, AND GIVESENTIMENT IS NOT RESPONSIBLE FOR ANY FAILURES OR ISSUES ARISING FROM SUCH THIRD-PARTY SERVICES. WE DO NOT WARRANT THAT THE REWARDS PROGRAM WILL BE UNINTERRUPTED OR ERROR-FREE, AND WE ARE NOT LIABLE FOR ANY INTERRUPTIONS OR ERRORS, INCLUDING BUT NOT LIMITED TO THOSE CAUSED BY TECHNICAL ISSUES OR THIRD-PARTY SERVICE FAILURES.

YOU ACKNOWLEDGE AND AGREE THAT YOUR PARTICIPATION IN THE REWARDS PROGRAM IS AT YOUR OWN RISK. GIVESENTIMENT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE REWARDS PROGRAM SHALL NOT EXCEED THE AMOUNT OF REWARDS IN YOUR ACCOUNT AT THE TIME OF THE CLAIM.

Indemnification

The indemnification provisions set forth in our Terms of Use apply in full to your participation in the Rewards Program. In addition to those provisions, you also agree to indemnify, defend, and hold harmless GiveSentiment, its parents, subsidiaries, affiliates, and their respective officers, directors, employees, agents, partners, suppliers, and licensors (each, a "GiveSentiment Party" and collectively, the "GiveSentiment Parties") from and against any and all claims, liabilities, damages (actual and consequential), losses and expenses (including attorneys' fees) arising from or in any way related to:

(a) your participation in the Rewards Program; (b) your use or misuse of any Rewards; (c) your violation of these Rewards Terms, our Terms of Use, our Privacy Policy, or any applicable law or regulation; (d) your violation of any rights of another party, including intellectual property rights or privacy rights; (e) any content or information you submit, post, or transmit through the Rewards Program; (f) any activities of Survey Creators, Data Licensors, or Reward Providers that you engage with through the Rewards Program; (g) any tax liabilities arising from your receipt or use of Rewards; and (h) any dispute between you and any other user, Survey Creator, Data Licensor, or Reward Provider.

This indemnity obligation will survive these Rewards Terms and your use of the Rewards Program. GiveSentiment reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of these claims. You agree not to settle any such matter without the prior written consent of GiveSentiment. GiveSentiment will use reasonable efforts to notify you of any such claim, action, or proceeding upon becoming aware of it.

This additional indemnification obligation is supplemental to, and not in lieu of, the indemnification obligations in the Terms of Use. In the event of any conflict between this indemnification provision and the one in the Terms of Use, the provision providing the broadest protection to the GiveSentiment Parties shall prevail.

Securities Law Disclaimer

CERTAIN REWARDS, INCLUDING GIVESENTIMENT'S OWN TOKEN IF OFFERED, MAY BE CONSIDERED SECURITIES IN SOME JURISDICTIONS. GIVESENTIMENT DOES NOT MAKE ANY REPRESENTATIONS REGARDING THE REGULATORY STATUS OF ANY REWARDS.

YOU ARE SOLELY RESPONSIBLE FOR DETERMINING WHETHER YOUR PARTICIPATION IN THE REWARDS PROGRAM OR ACCEPTANCE OF ANY REWARDS COMPLIES WITH APPLICABLE SECURITIES LAWS IN YOUR JURISDICTION.

GIVESENTIMENT IS NOT PROVIDING INVESTMENT ADVICE AND IS NOT ACTING AS AN INVESTMENT ADVISOR OR BROKER-DEALER. YOU SHOULD CONSULT WITH A QUALIFIED FINANCIAL ADVISOR BEFORE MAKING ANY INVESTMENT DECISIONS RELATED TO REWARDS.

BY PARTICIPATING IN THE REWARDS PROGRAM AND ACCEPTING REWARDS, YOU REPRESENT AND WARRANT THAT YOU ARE DOING SO FOR YOUR OWN ACCOUNT AND NOT WITH A VIEW TO DISTRIBUTION OR RESALE IN VIOLATION OF ANY APPLICABLE SECURITIES LAWS.

Taxes

You are solely responsible for any tax consequences that may arise from your participation in the Rewards Program or your receipt of Rewards. GiveSentiment may report the value of Rewards to tax authorities if required by applicable laws. You agree to provide accurate tax information if requested. The value of Rewards may be taxable as income in some jurisdictions. You should consult with a tax professional to understand your obligations.

Termination and Suspension

GiveSentiment reserves the right to suspend or terminate your participation in the Rewards Program at any time, with or without cause, and with or without notice.

Upon termination, you may forfeit any unclaimed Rewards in your Account, subject to applicable laws.

We may also modify, suspend, or discontinue the Rewards Program, in whole or in part, at any time without notice.

Dispute Resolution and Governing Law

Any disputes arising from or relating to the Rewards Program shall be subject to the dispute resolution provisions in our Terms of Use, including the arbitration agreement and class action waiver.

These Rewards Terms shall be governed by and construed in accordance with the laws specified in our Terms of Use.

Miscellaneous

If any provision of these Rewards Terms is found to be unenforceable, the remaining provisions will remain in full effect.

Our failure to enforce any right or provision of these Rewards Terms will not be considered a waiver of those rights.

These Rewards Terms, together with our Terms of Use and Privacy Policy, constitute the entire agreement between you and GiveSentiment regarding the Rewards Program.

By participating in the Rewards Program, you acknowledge that you have read, understood, and agree to be bound by these Rewards Terms.
